Terms of sale

Translation for convenience. The German AGB are the legally binding version.

1. Scope

These terms apply to the purchase of Sealpixel developer seats by organizations from nine feet UG (haftungsbeschränkt) (“we”). The software itself is governed by the Business Source License 1.1 and the Developer Seat License. Individuals and organizations under EUR 1,000,000 of gross annual revenue use Sealpixel free of charge and need no purchase.

2. Conclusion of contract

Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders and our authorised reseller. You buy the seats from Paddle, and the contract of purchase is concluded with Paddle, not with us. Paddle’s Buyer Terms apply to that purchase.

Depending on where you are, your contract is with Paddle.com Market Limited, incorporated in England and Wales under company number 8172165, registered office 30 Old Bailey, London EC4M 7AU, United Kingdom; or, for buyers in the United States, with Paddle.com Inc., 3811 Ditmars Blvd. #1071, Astoria, New York, NY 11105-1803, USA.

We remain the producer and licensor of Sealpixel. The license to use the software is granted by us under the Developer Seat License, and these terms govern that license. Paddle does not license the software to you.

Seats can also be arranged by email at [email protected]; the order is then placed through Paddle in the same way.

3. Price and payment

The price per seat and year follows the total number of seats you hold and applies to every one of them: 499 EUR for 1 to 4 seats, 449 EUR for 5 to 9, 399 EUR for 10 to 24. From 25 seats we quote individually. Payable in advance. Seats added during a term are prorated to your existing renewal date. Where the total reaches a lower tier, that tier applies to every seat from the date the seats are added; the part of the term already elapsed is not recalculated, the remainder is charged at the new tier prorated, and the next renewal is charged at it in full. Prices on this site are net. Paddle calculates, collects and remits VAT, GST and sales tax as they apply where you are established, and issues the invoice. Where you hold a valid VAT or tax identification number, enter it at the checkout so that Paddle can apply the correct treatment.

4. Term and cancellation

Twelve months from purchase, renewing yearly unless cancelled before the end of the term. Cancellation is possible at any time by email to [email protected], or through the link in the Paddle receipt, and takes effect at the end of the current term. After the term, every release you received stays licensed forever; new releases and support require an active seat.

5. Refund

Within 30 days of the first purchase you may cancel for a full refund, without giving reasons. Refunds are handled by Paddle as the Merchant of Record and paid back by the same route the payment came in. Write to us or to Paddle; we will approve it either way. Statutory withdrawal rights for consumers are not affected; seats are sold to organizations only.

6. Delivery

The software is delivered as public npm packages. Nothing is shipped physically. Support is provided by email to seat holders with a first response within two business days.

7. Liability

We are liable without limitation for intent, gross negligence, injury to life, body or health and under the German Product Liability Act. For slight negligence we are liable only for breach of essential contractual duties, limited to the foreseeable damage typical of the contract. The software is provided as described in the license; the license excludes warranties to the extent permitted by law.

8. Governing law and venue

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for merchants is Lübeck.
